1. Acceptance and electronic consent
By creating an account, clicking to accept this Agreement, accepting a task, or submitting content through the Platform, Contributor acknowledges that Contributor has read, understands, and agrees to be bound by this Agreement.
Contributor consents to the use of electronic records, electronic notices, and electronic signatures in connection with this Agreement. Contributor's click, checkbox selection, account creation, task acceptance, or submission of content constitutes Contributor's electronic signature and acceptance of this Agreement.
2. Definitions
"Task" means a statement of work, brief, assignment, prompt, or other paid or unpaid contributor opportunity made available through the Platform.
"Submission" means any audio recording, voice clip, video, image, photograph, annotation, text response, metadata, file, consent record, or other material that Contributor uploads, records, creates, provides, or submits through the Platform.
"Customer" means an enterprise customer, research organization, AI lab, or other third party that receives, licenses, evaluates, or uses Crowtado data under a separate agreement with Crowtado.
"Task Terms" means the task-specific instructions, eligibility requirements, consent requirements, acceptance criteria, payout terms, and usage terms shown to Contributor for a particular Task.
"Confidential Information" means non-public information about the Platform, Tasks, Customers, task instructions, data formats, review criteria, pricing, and any other information designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
3. Eligibility and account obligations
Contributor represents and warrants that Contributor is at least 18 years old and has the legal capacity to enter into this Agreement.
Contributor shall provide accurate, current, and complete account, identity, payment, tax, location, and eligibility information when requested. Contributor shall keep account credentials confidential and is responsible for all activity conducted through Contributor's account.
Crowtado may suspend or terminate any account that Crowtado reasonably believes has submitted fabricated content, misrepresented identity or location, violated consent obligations, breached this Agreement, or used the Platform in a fraudulent, abusive, unlawful, or unsafe manner.
4. Tasks, review, and contributor status
Each Task is governed by this Agreement and the applicable Task Terms. If the Task Terms conflict with this Agreement for a particular Submission, the Task Terms control solely for that Submission.
Contributor may choose which Tasks to accept, if any. Crowtado does not guarantee that Tasks will be available, that any Submission will be accepted, or that Contributor will earn any particular amount.
For any compensated Task, Contributor acts as an independent contractor and not as an employee, agent, partner, joint venturer, or legal representative of Crowtado. Nothing in this Agreement waives any non-waivable rights Contributor may have under applicable law.
Crowtado may review Submissions for quality, authenticity, consent compliance, technical compliance, safety, fraud prevention, and customer requirements. Acceptance or rejection of a Submission is at Crowtado's discretion, exercised in accordance with the applicable Task Terms and quality rubric.
5. Ownership and license grant
As between Contributor and Crowtado, Contributor retains ownership of Contributor's underlying rights in each Submission, except for the rights expressly granted in this Agreement and the applicable Task Terms.
Contributor hereby grants Crowtado a worldwide, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up license to host, store, copy, reproduce, modify, adapt, annotate, analyze, process, create derivative works from, package, distribute, transmit, publicly display, publicly perform, commercialize, and otherwise use each Submission and related metadata for the following purposes:
- operating, securing, improving, and administering the Platform;
- quality assurance, fraud prevention, moderation, support, audit, and compliance;
- creating, validating, licensing, sublicensing, and delivering datasets and related materials to Customers;
- training, evaluating, testing, benchmarking, and improving machine-learning, artificial-intelligence, speech, vision, multimodal, and related systems; and
- any additional purpose expressly disclosed in the applicable Task Terms or consent form.
The license granted in this Section 5 is subject to the revocation rights in Section 10 and any narrower consent restrictions expressly stated in the applicable Task Terms or consent form.
6. Consent, likeness, and personal rights
Contributor shall obtain all required consents, permissions, releases, and authorizations from each identifiable person whose voice, image, likeness, biometric identifier, personal data, property, or other protected interest appears in or is associated with a Submission.
Any required consent must be obtained before submission, must be freely given, must be documented in the form required by Crowtado, and must cover the uses described in this Agreement, the applicable Task Terms, and the applicable consent form.
Contributor shall not submit content that depicts or includes minors, persons under duress, persons who have not freely consented, or content that Contributor is not authorized to provide. Crowtado may reject such content and may suspend or terminate accounts for violations.
Where a Task requires Contributor to record Contributor's own voice, face, or other biometric identifier, Contributor acknowledges and consents to Crowtado's collection, storage, processing, and use of that biometric data for the purposes described in Section 5 and the applicable Task Terms. Contributor acknowledges that this notice and consent satisfies applicable biometric privacy laws, including the Illinois Biometric Information Privacy Act (740 ILCS 14). Crowtado will retain biometric data only as long as necessary for the purposes described in this Agreement or as required by law, and will destroy biometric data when the purpose for collection has been satisfied or within three years of Contributor's last interaction with the Platform, whichever occurs first, unless a longer retention period is required by law or authorized by the applicable Task Terms.
7. Contributor representations and warranties
Contributor represents and warrants that:
- Contributor has all rights, licenses, consents, permissions, and authority necessary to submit each Submission and grant the rights granted to Crowtado;
- each Submission is original to Contributor or otherwise lawfully provided by Contributor;
- each Submission and Crowtado's permitted use of it will not infringe, misappropriate, or violate any intellectual property right, privacy right, publicity right, contractual right, or other right of any third party;
- each Submission complies with this Agreement, the applicable Task Terms, and all applicable laws and regulations;
- Contributor will not submit synthetic, manipulated, staged, stolen, misleading, or fabricated content except where the Task Terms expressly request that type of content; and
- Contributor will not attempt to evade quality review, fraud controls, geolocation controls, payment controls, or consent requirements.
8. Confidentiality
Contributor shall not disclose, publish, or share Confidential Information with any third party without Crowtado's prior written consent. Contributor shall not publicly post, screenshot, record, or reproduce Task instructions, review criteria, customer identities, data samples, or Platform communications except as expressly permitted by Crowtado.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of Contributor; (b) was known to Contributor before disclosure by Crowtado; or (c) is required to be disclosed by law, provided Contributor gives Crowtado reasonable advance notice where permitted.
This confidentiality obligation survives termination of this Agreement and remains in effect for three years after the date of disclosure of the applicable Confidential Information.
9. Customer sublicenses and restrictions
Crowtado may sublicense Submissions and related metadata to Customers under customer agreements that permit use for the purposes described in this Agreement, the applicable Task Terms, or the applicable customer order form.
Crowtado's Customer agreements shall prohibit Customers from redistributing raw Crowtado data, attempting to re-identify Contributors, or using Crowtado data in violation of applicable law, except to the extent a narrower or different restriction is expressly disclosed in the applicable Task Terms.
10. Revocation and withdrawal
Contributor may request revocation of a Submission as described in the Platform, applicable Task Terms, or consent form. Crowtado will remove revoked Submissions from active distribution within 30 days after a valid revocation request is received and processed.
Revocation is prospective only. Copies, datasets, models, analyses, records, derivatives, or customer materials already delivered, generated, licensed, sublicensed, or used before revocation may remain subject to the applicable customer license, audit requirements, legal obligations, and record-retention obligations.
Crowtado may retain redacted or limited records of revoked Submissions for audit, compliance, fraud prevention, payment, dispute resolution, and legal purposes.
11. Termination
Either party may terminate this Agreement at any time. Contributor may terminate by closing Contributor's account through the Platform settings or by sending written notice to Crowtado.
Upon termination by Contributor: (a) Contributor's access to new Tasks will end immediately; (b) Crowtado will pay any approved, undisputed balance within 30 days, subject to payment provider requirements, compliance review, minimum payout thresholds, and applicable law; and (c) the license grants in Section 5 for previously submitted Submissions will survive termination as stated in Section 18.
Crowtado may terminate or suspend Contributor's account immediately for cause, including fraud, repeated quality failures, breach of this Agreement, or violation of law. For termination without cause, Crowtado will provide 14 days' notice.
Unclaimed balances remaining in Contributor's account for 12 months or more after termination will be handled in accordance with applicable state escheatment and unclaimed-property laws.
12. Payouts and taxes
Crowtado pays for approved compensated Submissions at the rate shown in the applicable Task Terms at the time of submission. Approved earnings move into Contributor's account balance after approval. When Contributor requests a withdrawal, payment delivery usually takes around one week, subject to payment provider processing, compliance review, and applicable law.
The minimum payout threshold is shown on the Platform. Crowtado does not charge Contributors a platform fee for payouts. Third-party payment providers may impose their own fees, delays, or requirements.
Contributor is solely responsible for taxes, withholdings, reporting, registrations, permits, and other governmental obligations arising from compensation received through the Platform, except to the extent Crowtado is required by law to withhold, report, or remit amounts.
13. Indemnification
Contributor shall defend, indemnify, and hold harmless Crowtado and its affiliates, officers, directors, employees, contractors, agents, Customers, sublicensees, successors, and assigns from and against any claims, damages, losses, liabilities, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- any Submission;
- Contributor's breach of this Agreement or any Task Terms;
- Contributor's violation of law;
- Contributor's failure to obtain required consents, permissions, releases, or authorizations; or
- any allegation that a Submission or its permitted use infringes, misappropriates, or violates any right of a third party.
14. Disclaimers and limitation of liability
The Platform, Tasks, and related services are provided "as is" and "as available." To the maximum extent permitted by law, Crowtado disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy.
To the maximum extent permitted by law, Crowtado shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, reputation, business opportunity, or anticipated earnings.
To the maximum extent permitted by law, Crowtado's aggregate liability for any claim arising out of or relating to this Agreement, the Platform, any Task, or any Submission is limited to the greater of (a) amounts paid by Crowtado to Contributor during the 12 months preceding the event giving rise to the claim, or (b) US $100.
15. Dispute resolution and governing law
This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law rules, except to the extent applicable law requires otherwise.
To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to this Agreement, the Platform, any Task, or any Submission shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association before a single arbitrator seated in New York, New York.
Each party shall bear its own attorneys' fees and costs. The arbitration filing fee and arbitrator compensation shall be allocated in accordance with the AAA's fee schedule for consumer-related disputes, provided that Crowtado will pay any arbitration fees that exceed the amount Contributor would have paid to file a complaint in court.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRIBUTOR AND CROWTADO EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits. Either party may seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction for claims involving intellectual property, confidentiality, data security, unauthorized platform access, or misuse of Submissions.
16. Changes to this Agreement
Crowtado may update this Agreement from time to time. Material changes will be announced at least 30 days before they take effect by email, dashboard notice, or other reasonable notice method. Continued use of the Platform after the effective date constitutes acceptance of the updated Agreement.
Older versions are archived and available on request.
17. Notices
Notices to Contributor will be sent to the email address associated with Contributor's account and are deemed received when sent. Contributor is responsible for keeping Contributor's email address current.
Notices to Crowtado must be sent to legal@crowtado.com or to: Crowtado, Inc., Attn: Legal, 320 Atlantic Ave, Brooklyn, NY 11201. Notices to Crowtado are deemed received upon confirmed delivery.
18. General provisions
This Agreement, the applicable Task Terms, applicable consent forms, and Crowtado's Privacy Policy constitute the entire agreement between Crowtado and Contributor regarding the Platform, Tasks, and Submissions.
If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Contributor may not assign this Agreement without Crowtado's prior written consent. Crowtado may assign this Agreement to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.
Crowtado's failure to enforce any provision of this Agreement is not a waiver of that provision or any other provision.
Sections concerning ownership, license grants, confidentiality, Customer sublicenses, revocation, termination consequences, payout records, taxes, indemnification, disclaimers, limitation of liability, dispute resolution, notices, and general provisions survive termination of this Agreement.
